Nejoum Al Jazeera Car Auctions Organizing L.L.C. ("Nejoum") provides internet products, software applications, services, and related content (the "Service") to you subject to the following Terms of Service, which may be updated from time to time.

Your access to, browsing of, registration on, or use of the Website or any of its services constitutes your express and final agreement to be bound by these Terms and represents a legally binding electronic acceptance.

If you do not agree to these Terms, you must immediately discontinue use of the Website.

Nejoum reserves the right to modify these Terms at any time at its discretion. Any modifications shall become effective and binding from the date the updated version is published on the Website. Your continued use of the Website after publication of such changes constitutes your implied acceptance of those modifications without the need for individual notice.

The version published on the Website at any given time shall be the official, binding, and governing version, and users are responsible for reviewing it periodically.

In addition, when using specific Nejoum services, you shall be subject to any applicable guidelines, posted rules, purchasing and usage terms and conditions, privacy policy, and/or operational policies and procedures applicable to such services, all of which are incorporated into these Terms by reference.

The user acknowledges and agrees that these Terms govern exclusively the use of the Website and its technical and informational services. They do not govern auction participation, bidding, or the purchase of Lots, which are subject exclusively to the Membership Terms and Conditions published separately on the Website. Acceptance of the Membership Terms shall be considered independent and separate from acceptance of these Website Terms of Use.

If you complete the registration process, you will receive a username and password associated with your Nejoum account. You are solely responsible for maintaining the confidentiality of your login credentials, including your username, password, and any additional authentication mechanisms.

You are strictly prohibited from sharing, disclosing, or enabling any other person to use your login credentials, whether directly or indirectly. Any use of your account shall be attributed to you personally, and you shall bear full responsibility for all activities conducted through it, including any unauthorized use resulting from your negligence or failure to protect your login credentials.

You agree to:

• (a) Immediately notify Nejoum of any unauthorized use of your account or any potential security breach;
• (b) Take all reasonable measures to safeguard your login credentials;
• (c) Log out of your account at the end of each session.

Nejoum reserves the right to suspend, restrict, or terminate any account temporarily or permanently without prior notice if it reasonably determines that unusual activity, suspected security compromise, misuse, or breach of these Terms has occurred, in order to protect the security of the Website and its users.

Nejoum shall not be liable for any loss or damage arising from your failure to comply with the obligations set forth in this section.

Nejoum reserves the right, at any time and from time to time, to modify, update, improve, restrict, suspend, or discontinue the Service or any part thereof at its discretion for operational, technical, regulatory, security, or commercial reasons.

Such modifications may include, without limitation, system updates, performance improvements, cybersecurity enhancements, compliance with legal or regulatory requirements, or restructuring of services.

In the event of circumstances beyond the Company's reasonable control, including force majeure events, major technical failures, cyberattacks, interruptions in telecommunications or electricity services, or regulatory or governmental decisions, Nejoum may suspend, restrict, or discontinue the Service without liability.

You agree that Nejoum shall not be liable to you or to any third party for any modification, suspension, or discontinuation of the Service, except where such action results from gross negligence or willful misconduct by the Company, to the extent permitted by applicable law.

You agree that Nejoum may, at its reasonable discretion, suspend or terminate your account, restrict or terminate your access to the Service (or any part thereof), or remove or delete any content associated with your account at any time and without prior notice for any legitimate reason, including but not limited to violation of these Terms, suspected misuse, or for security, regulatory, or operational reasons.

Nejoum may deactivate or delete your account and all related information and files and bar any further access to such information without incurring liability to you or to any third party, to the extent permitted by law.

Termination of the account or suspension of the Service shall not relieve the user from any obligations, liabilities, or payments that arose prior to the termination date. Provisions which by their nature survive termination, including limitation of liability, indemnification, and intellectual property provisions, shall remain in full force and effect.

If the user is also a Member subject to the Membership Terms and Conditions, termination of Website access shall not affect the obligations arising under those terms unless the Company decides otherwise in writing.

Users must use the Website and the Service in a lawful and proper manner. Users are strictly prohibited, whether directly or indirectly, personally or through third parties, from engaging in any of the following activities:

1. Attempting to gain unauthorized access to the Website's systems, servers, databases, user accounts, or any part of its technical infrastructure.
2. Attempting to breach, disable, bypass, or circumvent any security measures, protection systems, or authentication mechanisms implemented on the Website.
3. Introducing, transmitting, or distributing any viruses, malicious software, harmful code, corrupted files, or other materials intended to damage, disrupt, slow down, or otherwise interfere with the operation or availability of the Website.
4. Conducting any activity that imposes excessive or unreasonable load on the Website's technical infrastructure or interferes with the use of the Service by other users.
5. Using the Website for any unlawful purpose or in violation of applicable laws and regulations in the United Arab Emirates, including cybercrime laws, data protection laws, or anti-fraud legislation.
6. Using automated tools, bots, scripts, scraping technologies, or other technical means to extract data or interact with the Website in an unauthorized or non-human manner.

Any of the above acts shall constitute a material breach of these Terms and shall entitle the Company, without prior notice, to suspend or terminate the account, block access to the Website, pursue civil or criminal legal action, or seek compensation for any damages or losses arising therefrom.

The Company reserves the right to employ technical measures to monitor unusual or unlawful activity and to implement preventive measures necessary to protect the security of the Website and the integrity of its services.

You acknowledge and agree that the Website, the Service, and all components thereof---including without limitation text, images, videos, designs, graphics, logos, trademarks, domain names, software, databases, website structure, user interfaces, arrangement and organization of content, and any other materials available through the Website---are the exclusive property of Nejoum or licensed to it and are protected under intellectual property laws of the United Arab Emirates and applicable international conventions.

Your use of the Website or Service does not grant or transfer any ownership rights or express or implied licenses to any intellectual property rights, except for a limited, non-exclusive, revocable right to use the Website for lawful and personal purposes in accordance with these Terms.

You are prohibited from:

• Copying, reproducing, distributing, publishing, displaying, selling, leasing, licensing, or modifying any part of the Website or its content;
• Extracting, downloading, copying, or reusing any portion of the databases or content in an automated or systematic manner, including through scraping tools, bots, or similar technologies;
• Using any of Nejoum's trademarks, logos, or trade names without prior written consent.

Any unauthorized use constitutes an infringement of intellectual property rights and entitles the Company to pursue all legal remedies available to protect its rights, including claims for damages.

1. The Website and the Service are provided on an "as is" and "as available" basis without any representations or warranties of any kind, whether express or implied, to the fullest extent permitted under applicable laws of the United Arab Emirates.
2. Nejoum does not warrant or represent that:
   • The Website will operate without interruption, delay, or error;
   • The Service will be secure or free from defects or harmful software;
   • Information or results available through the Website will be accurate, complete, or up to date;
   • Any errors will be corrected.
3. The user assumes full responsibility for the use of the Website, and any reliance on the content, data, or materials available through it is at the user's own risk.
4. Any content published on the Website---including descriptions, information, data, responses, or notices---does not constitute legal, financial, commercial, or technical advice and should not be relied upon as a substitute for consultation with qualified professionals.
5. Nejoum shall not be responsible for any technical failures, network interruptions, human errors, loss or delay in data transmission, malfunction of communication systems, software or hardware failures, or other factors beyond its reasonable control.
6. The Company's liability, if any, shall be subject to the provisions set out in Article (8) regarding limitation of liability.

1. To the fullest extent permitted under applicable law in the United Arab Emirates, Nejoum shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to loss of profits, loss of data, loss of goodwill, or loss of business opportunities, even if the Company has been advised of the possibility of such damages.
2. Without prejudice to the foregoing, and in all circumstances, the total aggregate liability of Nejoum to any user arising out of or relating to the use of the Website or these Terms---whether in contract, tort, or otherwise---shall not exceed the total fees paid by the user to the Company (if any) during the twelve (12) months immediately preceding the date the claim arose.
3. If the user has not paid any fees to the Company during the above-mentioned period, the Company's liability, if any, shall be limited to a maximum amount of AED 1,000.
4. This limitation shall not apply where liability cannot legally be excluded or limited under applicable law.

The user agrees to indemnify, defend, and hold harmless Nejoum, its directors, employees, and agents from and against any claims, losses, damages, costs, or expenses (including legal fees) arising out of or relating to:

• Misuse of the Website;
• Breach of these Terms;
• Violation of any law or third-party rights;
• Any activity conducted through the user's account.

These Terms of Service and the relationship between you and Nejoum shall be governed by the laws of the United Arab Emirates. You hereby submit to the exclusive jurisdiction of the local courts in the jurisdiction where the relevant Nejoum entity with which you contract operates, with respect to any action, matter, or dispute arising hereunder.

The failure of Nejoum to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. If a court of competent jurisdiction determines that any provision of these Terms is invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties' intentions as reflected in that provision, and the remaining provisions shall remain in full force and effect.

Section headings in these Terms are for convenience only and shall have no legal or contractual effect.

Any failure or delay by Nejoum in exercising any of its rights, or its failure to enforce any provision of these Terms in a particular instance, shall not constitute a waiver of that right or provision and shall not prevent its enforcement at any later time. Any waiver by the Company shall only be effective if made expressly in writing and signed by a duly authorized representative.
